Offboarding

Offboarding is the structured process by which a company manages an employee's exit, from the grounds for termination through to the return of work equipment. It is primarily a process concept, but it ties together several legal duties the employer must meet at exit. A clean offboarding lowers legal risk and protects the employer brand.

  • Clarify the grounds for exit: Kündigung, Aufhebungsvertrag (settlement agreement), end of a fixed term, or retirement
  • Grant remaining leave or pay it out on termination (§ 7 BUrlG)

Legal building blocks at exit

  • Freistellung: paid or unpaid, revocable or irrevocable; whether remaining leave is offset should be stated explicitly
  • Reference: timely, true, and benevolent; on request a qualified Arbeitszeugnis covering performance and conduct
  • Post-contractual duties: a post-contractual non-compete (nachvertragliches Wettbewerbsverbot) is only valid with compensation of at least 50 % and for a maximum of two years (§ 74 HGB)
  • Data protection: a deletion concept with clear deadlines; payroll, tax, and social-security records are subject to statutory retention periods

FAQ

When must the Arbeitszeugnis be ready?

The claim arises when the employment ends; in practice the reference should be ready on the last working day. On request it is a qualified Arbeitszeugnis covering performance and conduct.

How long may employee data be kept after exit?

Personal data must be deleted once its purpose ends (DSGVO). Payroll, tax, and social-security records carry statutory retention periods, and reference-related data is usually kept with limitation periods in mind. A documented deletion concept is mandatory.

What happens to remaining leave that can no longer be taken?

Untaken leave must be paid out on termination. If the employee is placed on Freistellung, the agreement should state clearly whether remaining leave is offset against it.

Does a non-compete apply automatically after exit?

No. A post-contractual non-compete (nachvertragliches Wettbewerbsverbot) only applies if it is agreed in writing and provides compensation of at least 50 % of the last contractual pay. Without compensation the agreement is non-binding.
